Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Unbridled Technologies LLC, doing business as ScaledStream ("ScaledStream," "we," "us," or "our"), governing your use of the ScaledStream websites, dashboard, APIs, and streaming relay service (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to it.

1. The Service

ScaledStream accepts a single inbound live video stream from your encoder and relays it in real time to the destinations you configure (such as YouTube, Twitch, Facebook, or a custom RTMP endpoint). The Service transmits your stream as-is, without transcoding, and does not record or store your stream content. The Service is a transmission tool: you remain the publisher of your content on each destination platform.

You retain all rights in the content you stream through the Service. You grant us a limited, non-exclusive, worldwide license to receive, temporarily buffer in memory, and transmit your content solely as necessary to provide the Service — that is, to relay it to the destinations you direct. This license ends when transmission of the stream ends; because we keep no copies, there is nothing to retain afterward.

You are solely responsible for your content and represent that you own it or have every right and permission necessary to broadcast it — including all rights to any music, video, images, trademarks, and appearances of other people it contains — on each destination you select.

You agree not to use the Service to:

We may suspend or terminate streams or accounts that we reasonably believe violate this section, and we will comply with valid takedown or legal requests directed at content transiting the Service.

5. Destination platforms and third-party services

The Service interoperates with third-party platforms that you connect or configure. Your use of each platform is governed by that platform's own terms and policies, and you are responsible for complying with them. In particular:

Destination platforms are not our subcontractors, and we are not responsible for their availability, ingest performance, content decisions, or any action they take against your account or broadcasts.

6. Plans, billing, and changes to the Service

The Service is currently offered in an early-access program at no charge. We may introduce paid plans with published pricing and limits; if we do, we will give you reasonable advance notice before any feature you use becomes paid, and paid subscriptions will be governed by the pricing terms presented at purchase. We may modify, add, or remove features of the Service at any time; if a change materially reduces the Service's core function of relaying your stream, we will use reasonable efforts to notify you in advance.

7. Availability

We aim for the Service to be reliable, but it is provided without an uptime guarantee or service-level agreement. Live streaming depends on networks, platforms, and infrastructure outside our control, and maintenance, outages, or capacity limits may interrupt streams. Do not rely on the Service as your only path to air for broadcasts where interruption would cause significant harm; we encourage a backup ingest path for critical events.

8. Intellectual property

The Service — including its software, design, and branding — is owned by Unbridled Technologies LLC and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service under these Terms. You may not copy, modify, reverse-engineer, or create derivative works of the Service except as permitted by law. Any feedback you send us may be used to improve the Service without obligation to you.

9. Termination

You may stop using the Service and delete your account at any time from the app (see our Data Deletion Policy). We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the Service (in which case we will give reasonable notice). Upon termination, your stream keys stop working and your data is handled as described in the Data Deletion Policy. Sections 3 (representations), 8, and 10–13 survive termination.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNBRIDLED TECHNOLOGIES LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, AUDIENCES, GOODWILL, OR DATA, ARISING FROM OR RELATED TO THE SERVICE — INCLUDING INTERRUPTED OR FAILED BROADCASTS — EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AROSE AND (B) ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

12. Indemnification

You will defend and indemnify Unbridled Technologies LLC against claims, damages, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Service in violation of these Terms, or your violation of any law or third-party right — including claims that content you streamed infringed another party's rights or violated a destination platform's terms.

13. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. The exclusive venue for any dispute not subject to informal resolution is the state or federal courts located in Texas, and both parties consent to personal jurisdiction there. Before filing a claim, you agree to contact us and attempt in good faith to resolve the dispute informally for at least 30 days.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service before they take effect; continued use of the Service after the effective date constitutes acceptance. The effective date at the top shows when these Terms were last revised.

15. Miscellaneous

These Terms, together with the Privacy Policy and Data Deletion Policy, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
